Digital Distributor Agreements: OTP e-Signing, Renewals and Expiry Alerts Without Paper

Quick answer: A digital distributor agreement is built from a template, emailed to the distributor and signed online. The distributor reviews the terms, types their name, accepts and confirms with a one-time password (OTP). The system records name, IP address, device and time, creates a signed PDF, and sends reminders 30, 15 and 7 days before expiry.

Key takeaways

  • Most agreement problems are not legal; they are operational: unsigned copies, expired terms and no single record.

  • Templates with merge fields remove retyping errors in names, addresses and GSTINs.

  • OTP-confirmed signing with a recorded IP, device and timestamp gives a clear audit trail.

  • Expiry reminders at 30, 15 and 7 days and one-click renewal keep every active distributor under a valid agreement.

What goes into a distributor agreement?

A distributor agreement sets out the commercial relationship between a company and its distributor or super stockist. Typical terms include the territory and channels covered, products, pricing basis, credit terms and limits, security deposit or bank guarantee, targets, scheme and claim policies, returns and expiry handling, and termination conditions. Some agreements also carry a quantity or value commitment for the year.

Why do paper distributor agreements fail?

  • They take weeks. Print, courier, sign, courier back, file. Onboarding stalls while the distributor is already ordering.

  • They get lost. When a dispute comes up, nobody can find the signed copy.

  • They expire silently. Agreements lapse and the distributor keeps trading on outdated terms.

  • They drift. Each sales officer edits the Word file a little, so no two distributors are on the same version.

How does digital agreement signing work?

  1. Create a template. Reusable agreement text with a code, version and applicable method, and merge fields for the customer, firm name, address, GSTIN and signatory. A live preview shows exactly what the distributor will see.

  2. Create the agreement. Choose the customer type (distributor, super stockist, dealer or other) and the method: quantity, financial, or terms and conditions. The agreement is numbered automatically, and a supporting document can be uploaded if needed.

  3. Send for signature. The distributor receives a signing link by email.

  4. Review and sign. The distributor reads the terms, types their name, accepts, and confirms with a 6-digit OTP sent to their email.

  5. Record the evidence. The system stores the signer's name, IP address, device and time, and generates a signed PDF for download.

  6. Activate. A company user activates the signed agreement. Only then does it become the agreement in force.

If the distributor disagrees with the terms, they can reject with a reason instead of going silent. For distributors who struggle with email, a company user can complete an assisted signing using the OTP the distributor receives.

The agreement lifecycle

Every agreement moves through draft → sent → signed → active → expired, and can be cancelled from any open state. Rules that keep it clean:

  • One open agreement per business partner at a time, so there is never confusion about which one applies.

  • Signed and active agreements cannot be altered. Changes require a new version.

  • Version snapshots keep a summary of what changed between versions.

  • Every status change is logged with the user and the reason.

Renewals and expiry reminders

Active agreements expire automatically on their end date. Before that, email reminders go to both the distributor and their manager 30, 15 and 7 days before expiry. Renewal is one click: it creates a new draft for the next period, linked to the earlier agreement, ready to send for signature.

On the dealer side, distributors see all their agreements on an Agreements page, and a pending-signature banner on the dealer dashboard makes sure nothing waits unsigned.

Agreements that drive orders: quantity and value commitments

Some distributor agreements are also commercial commitments, for example a promise to buy a set quantity or value in a year in return for free goods. In SalesPort these customer (blanket) agreements are linked to SAP Business One: the SAP agreement number travels with every order pushed to SAP, and free-goods deliveries earned under the agreement come back from SAP and are stocked in at the distributor automatically.

Reports to keep on your radar

Six agreement reports, all exportable to Excel:

  • Active: every agreement in force.

  • Pending: sent but not yet signed or activated.

  • Expiring: due to expire soon; work this list every week.

  • Expired: distributors trading without a current agreement.

  • By customer: the full agreement history for one distributor.

  • History: every status change, by whom and why.

Is an OTP-signed agreement legally valid in India?

India's Information Technology Act, 2000 recognises contracts formed electronically, and courts routinely accept electronic records supported by a clear audit trail. The strength of an OTP-confirmed signature with a recorded name, IP address, device and timestamp comes from that evidence. Some documents, such as those that need stamp duty or registration, or very high-value contracts, may call for Aadhaar eSign or a digital signature certificate. Confirm the right method for your agreement types with your legal adviser.

Rollout checklist

  1. Collect your current agreement versions and agree one standard template per customer type.

  2. Replace every name, address and tax field with a merge field.

  3. Verify distributor email addresses in the master. Signing links and OTPs go there.

  4. Start with renewals: send digital agreements to distributors whose paper agreements expire in the next quarter.

  5. Assign an owner for the Expiring and Expired reports.

Frequently asked

Quick answers

Can a distributor agreement be signed online?
Yes. The distributor receives a signing link by email, reviews the terms, types their name, accepts and confirms with an OTP. The system records the signer's name, IP address, device and time, and generates a signed PDF.
What is OTP-based e-signing?
OTP-based e-signing confirms a signer's acceptance with a one-time password sent to their registered email or phone. Combined with a recorded name, IP address, device and timestamp, it creates an auditable record that the named person accepted the agreement.
Are electronically signed agreements valid in India?
India's Information Technology Act, 2000 recognises contracts formed electronically. Some documents, such as those needing stamp duty or registration, may require Aadhaar eSign or a digital signature certificate, so check the right method with your legal adviser.
How do you track distributor agreement expiry?
Use a system that expires agreements automatically on their end date, sends reminders to the distributor and their manager 30, 15 and 7 days before expiry, and lists expiring and expired agreements in a report.
What should a distributor agreement include?
Territory and channels, products, pricing basis, credit terms and limits, security deposit or bank guarantee, targets, scheme and claim policies, returns and expiry handling, and termination conditions.
Can a distributor reject an agreement sent for signature?
Yes. In SalesPort the distributor can reject the agreement with a reason, which is logged so the company can revise the terms and send a new version.
